The Role
Reporting directly to the Group Chief Executive Officer, the Group General Counsel will act as the principal legal advisor to the CEO and Executive Leadership Team. The role will also provide leadership to the existing Integrity, Compliance & ESG area, integrating its expertise and organizational knowledge into the future Group Legal structure.
Key Responsibilities
- Act as a strategic legal advisor to the CEO, Executive Leadership Team and Boards on legal, regulatory, governance, reputational and business matters.
- Develop the Group Legal function, defining priorities, internal capabilities, common standards and the most effective use of external legal advisors.
- Support the negotiation and management of complex international commercial agreements in an industrial environment with customer, supplier, partnership and strategic agreements, ensuring appropriate contractual risk management.
- Lead the legal aspects of M&A and strategic transactions, including due diligence, negotiations, transaction documentation and integration activities.
- Strengthen corporate governance frameworks across the Group and support Boards and senior management on corporate and governance matters.
- Work closely with Integrity, Compliance & ESG leadership to ensure alignment across legal, governance, ethics, compliance and sustainability priorities.
- Oversee legal and regulatory risk, litigation, arbitration, investigations, claims and dispute resolution, coordinating external counsel where required.
- Support the protection of intellectual property, proprietary technologies, confidential information and strategic know-how.
- Provide pragmatic, business-oriented legal guidance across international operations and jurisdictions.
The Profile
We are looking for a senior legal professional able to combine legal authority, commercial judgement and the ability to build. The search is open both to established General Counsels and to senior legal managers whose breadth of experience and exposure position them to step into a first overall responsibility for a Group Legal function.
- Significant experience in senior legal roles within international industrial, manufacturing, engineering, aerospace or similarly complex organizations.
- Strong expertise in corporate and commercial law, governance, complex contracts, compliance, litigation and risk management.
- Experience supporting M&A, strategic transactions, organizational transformation and international operations.
- Credibility in working directly with CEOs, Executive Leadership Teams and Boards.
- Ability to operate with a practical, hands-on approach while maintaining a strategic perspective.
- Experience in private equity-backed and/or multinational organizations is considered an advantage.
- Master’s degree in Law or equivalent legal qualification; admission to practice law is preferred.
- Fluent Italian and English; French is considered an advantage.
Location
North-east Italy. The role requires a meaningful presence at the Group’s headquarters and availability to operate across an international organization.
Base Salary Range
€ 120.000 – € 160.000 + MBO (General Counsel)
€ 100.000 - € 120.000 + MBO (Senior Legal Manger)
